TAT APP Terms & Conditions

These Terms & Conditions (“Terms”) govern your access to and use of the App, along with any courses,  communities, content, features and other services made available through or in connection with the App (collectively, the “Services”). By downloading, installing, registering with or otherwise using the App or any of our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.

1. Eligibility & Authority

You must be at least 18 years of age or older to access or use the Services. If you are accessing or using the Services on behalf of another person or an entity, you represent that you have the authority to accept these Terms on their behalf and that the entity agrees to be bound by and responsible for your access and usage of the Services.

2. Accounts; Account Security; Electronic Communications

  • Some features of the Services may require you to register for an account (“Account”). You agree to provide accurate, complete and up-to-date information when registering, and to keep your Account information current.
  • You are responsible for safeguarding your Account login credentials and for all activities associated with your Account. You must notify us immediately if you become aware of unauthorized use of your Account.
  • By creating an Account you consent to receive electronic communications from us (email, push notifications, in-App messages) regarding your Account and our Services. These communications satisfy any legal requirement that such communications be in writing.

3. Privacy

4. Services; License

  • We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the App and the Services for your personal, non-commercial use, in accordance with these Terms.
  • You retain all rights in any content you upload or submit to the Services (“User Content”). By uploading or submitting User Content, you grant us a worldwide, royalty-free, fully paid, sublicensable right to use, reproduce, adapt, publish, distribute and display your User Content as reasonably necessary to provide the Services.
  • You agree not to use the Services for any purpose other than as expressly permitted by us in these Terms.

5. Prohibited Conduct

When using the Services you agree you will not:

  • Violate any applicable laws, regulations or third-party rights.
  • Impersonate any person or misrepresent your affiliation with any person or entity.
  • Use another person’s account without authorization.
  • Interfere with or impair the Services or attempt to bypass any security feature or restriction.
  • Upload, post or share material that is unlawful, harmful, defamatory, infringing or otherwise objectionable.
  • Use the Services in any way that could disrupt, damage or overburden the Services.

6. Intellectual Property

  • The App, the Services and all content provided by us (including videos, lessons, training materials, graphics, trademarks, logos) (“Our Content”) are owned by or licensed to us and are protected by intellectual property laws.
  • You may not reproduce, distribute, publicly display, modify, sell or otherwise exploit Our Content except as expressly permitted in these Terms.
  • Unauthorized use of Our Content is strictly prohibited and may result in termination of your access.

7. Third-Party Content & Services

The Services may include links to or integrations with third-party websites, services or content. We do not control or endorse such third-party content, and your interaction with such third parties is solely between you and the third party. We are not liable for any loss or damage resulting from your use of third-party services.

8. Feedback

Any suggestions, ideas or feedback you provide regarding the Services (“Feedback”) will be non-confidential and you grant us a worldwide, royalty-free, fully-paid, sublicensable right to use, reproduce, adapt and otherwise exploit that Feedback for any purpose without compensation or attribution to you.

9. Publicity

You agree that we may identify you as a user or member of the Services (including your name, likeness, logo) in our marketing materials. You may opt-out by contacting us [insert contact email].

10. Copyright Complaints

11. Indemnification

To the fullest extent permitted by law, you agree to indemnify, defend and hold harmless The Audition Technique, our affiliates, officers, directors, employees and agents from any claim, loss, damage, liability, cost or expense (including legal fees) arising from your use of the Services, your User Content, your violation of these Terms or your infringement of any third-party rights.

12. Disclaimers

The Services are provided “as is” and “as available”. We make no warranties or representations, either express or implied, about the availability, accuracy, completeness or reliability of the Services or content. Your use of the Services is at your sole risk.

13. Limitation of Liability

To the maximum extent permitted by law, we and our affiliates will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits or revenues whatsoever, arising out of or in connection with your use of the Services. Our total aggregate liability to you for any claim relating to the Services shall not exceed the amount you have paid to us in the twelve (12) months preceding the claim.

14. Release

To the fullest extent permitted by law, you release us from any and all claims, known or unknown, arising out of your use of the Services or your relationship with other users.

15. Data Processing; Transfer of Data

By using the Services you acknowledge and consent to the storage, processing and transfer of data (including your personal data) in Australia and/or overseas, where data protection laws may differ. You are responsible for ensuring your use of the Services is lawful in your jurisdiction.

16. Governing Law & Venue

These Terms will be governed by and construed in accordance with the laws of the State of Victoria, Australia, without giving effect to any conflict of law principles. You agree that any dispute which is not subject to alternative dispute resolution must be brought in the courts of Melbourne, Victoria, Australia.

17. Changes to Terms

We may update or change these Terms at any time. We will post the updated Terms on the App and/or our website, and update the “Last Updated” date above. Your continued access to or use of the Services after such changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms you must stop using the Services.

18. Termination

We may, in our sole discretion, suspend or terminate your access to the Services at any time and for any reason (including for violation of these Terms) without prior notice. We are not responsible for any loss or damage arising from your suspension or termination.

19. Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision will be deemed modified to the minimum extent necessary, and the remainder of these Terms will remain valid and enforceable.

20. Entire Agreement

These Terms, together with any additional terms, schedules or policies we provide (such as the Privacy Policy or Acceptable Use Policy), constitute the entire agreement between you and us relating to your use of the Services, and supersede any prior agreements, proposals or communications.
